Gaming hardware acquisitions: the compliance file is part of the product
Treat compliance evidence, firmware, tooling, inventory and supplier arrangements as core acquisition assets for any gaming-hardware deal.
A controller, XR device, accessory or prototype combines physical inventory, design files, firmware, tooling, supplier relationships, test evidence and regulatory duties. Buyers should identify the manufacturer, importer and distributor roles in every target market and determine whether those roles change after completion.
Inspect the technical file, declarations of conformity, lab reports, radio approvals, electrical safety, batteries, materials restrictions, labels, warnings, traceability, complaints, returns and recalls. Match production units to tested configurations and investigate component substitutions that may invalidate evidence.
The IP schedule should separately cover industrial designs, patents, trade marks, firmware, PCB layouts, mechanical CAD, moulds and manufacturing know-how. Budget for re-testing, relabelling and new responsible-person arrangements; legal ownership of a design does not make existing stock compliant.
